CONDITIONS OF SALE
_______________________________
|
FIRST.
No person shall advance less than the sum to be fixed by the
Auctioneer on each bidding or retract a bidding. Subject to the
right the vendor hereby reserves to bid, the highest bidder
shall be the purchaser, and if any dispute arise respecting a
bidding the property shall be put up again and resold. The
vendor reserves the right to consolidate two or more lots into
one.
SECOND.
Each purchaser shall immediately after the sale pay a deposit
of £10 per cent. of his purchase money into the hands of the
auctioneer and sign the subjoined agreement.
THIRD.
The timber on Lot l shall and the scheduled fixtures and
other articles referred to in the particulars shall be paid for
by the purchaser of that lot at the values mentioned in the
particulars in addition to his purchase money.
FOURTH.
Except as to the freehold interest in the hereditaments
formerly of copyhold tenure and since enfranchised, the title
shall as to all the lots commence with an indenture of mortgage
(dated the 28th day of May. 1863) purporting to be a mortgage in
fee simple of the hereditaments then of freehold tenure and
containing a covenant to surrender the hereditaments then of
copyhold tenure. Every purchaser shall assume that immediately
prior to the execution of such mortgage the mortgagor was seised
in unincumbered fee simple in possession of such of the
mortgaged premises as were then of freehold tenure, and was
absolutely entitled free from incumbrances to the copyhold
hereditaments thereby covenanted to be surrendered. Every
purchaser shall also assume that such mortgagor had previously
been duly admitted to him and his heirs to all the said copyhold
hereditaments excepting those held of the Manor of Wissett and
Le Roos, to which he was admitted on the 30th of November, 1863,
and also excepting those held'of the ~fanor of Romburgls to
which he was admitted on the 11th of Febsuary, 1864, and also
excepting those held of the Manor of romburgh to which he was
also admitted on the 11th of February, 1864, and also excepting
those held of the Manor of Blythburgh late Priory, to which he
was admitted on the 28th of December, 1863.
FIFTH.
The mortgagee under the said indenture of mortgage is therein
described as "Trustee of the late ANDREW JOHNSTON Esquire,
deceased." Inasmuch as this mortgage was subsequently
transferred no purchaser shall make any objection or requisition
in relation to such advance.
SIXTH.
Each purchaser shall admit the identity of the property
purchased by him with that comprised in the muniments offered by
the vendor as the title to such property upon the evidence
afforded by a comparison of the descriptions in the particulars
and muniments and of a declaration to be made (if required) at
the purchaser's expense. that the purchased property has been
enjoyed according to the title for 20 years. 'i'he vendor shall
not be required to distinguish the parts of any lot held under
different titles, nor to distinguish the freehold from the
copyhold part of any lot, nor in any case to distinguish
copyholds or enfranchised copyholds held or formerly held of
different manors.
SEVENTH.
The property is believed and shall be taken to be correctly
described as to quantity and otherwise and is sold subject to
all chief and other rents, rights of way and water, and other
easements (if any) charged or subsisting thereon, and to all
tenancies and occupations (whether mentioned in the particulars
or not) and to all rights and claims of tenants and occupiers.
and if any error, mis-statement or omission in the particulars
be discovered the same shall not annul the sale nor shall any
compensation be allowed in respect thereof.
EIGHTH.
It is believed that all the muniments of title have been duly
stamped. If however it should appear that any document is
unstamped or not sufficiently stamped no objection shall be made
on account thereof, and any document which any purchaser shall
consistently with this condition require to be stamped or
further stamped shall be procured to be so stamped by him and at
his expense.
NINTH.
Freedom from land tax shall be deemed sufficiently evidenced
by the fact that the land tax assessment books do not show any
land tax to be payable. And as to any land stated to be tithe
free the purchaser thereof shall not be entitled to require any
evidence of the truth of such statement except a statutory
declaration (to be furnished at his own expense) that no tithe
rent charge has been paid for twelve years next before the day
of sale. |
TENTH.
As to any of the lots which are charged together or in common
with any other lot or lots with tithe rent charge the same shall
he apportioned on the different lots in the sums mentioned in
the particulars, but such apportionments shall be respectively
made by and at the expense of the purchasers in shares
proportioned to the apportioned sums, and any delay or neglect
to make such apportionment shall not defer the completion of the
purchase. If however any lot be not sold at the present sale the
vendor shall not be required to obtain the apportionment of any
tithe rent charge affecting the same.
ELEVENTH.
It shall be assumed that every surrender or admittance
pursuant to power of attorney was authorized by the power under
which it appears on the Court Rolls to have been made and the
production of the power shall not be required.
TWELFTH.
The purchaser of any lot which or part of which is in hand,
shall in addition to his purchase money pay to the vendor as
regards such of the lands as are in hand for the rent and rates
of fellows at the rate of 25/- an acre, and for the tillages,
manures and seeds on same, for clover seeds on young layers, for
any surplus manure on heaps, and for such fixtures in the farm
houses in hand as usually pass from tenant to tenant, according
to a valuation to be made by two valuers or their umpire
appointed in the usual way or otherwise at their fair value. The
Receiver (Mr. C. W. CHASTON, of Mendhem,) appointed by the
vendor or his nominees, shill have the right of stacking the
present year's crops of corn on the lands in hand, end shall
retain possession of the stacking places with free passage
thereto till the 1st of May next, and the purchaser shall pay
for threshing the same and carting to market (not exceeding ten
miles,) being allowed straw and chaff for so doing.
THIRTEENTH.
Each purchaser shall send his objections and requisitions (if
any) in respect of the title and all matters appearing on the
abstract Particular or conditions to the office, No.16, Bedford
Row, London, W.C., of J. C. PATTESON, Esquire, the vendor's
solicitor within 14 days from the day of the delivery of his
abstract and in default of such objections and requisitions (if
none) and subject only to such (it any) shall be deemed to have.
accepted the title. An answer to any objection or requisition
shell be replied to in writing within seven days after the
delivery thereof, and if not. so replied to shall be deemed
satisfactory. Time shall be deemed in all respects as of the
essence of this condition.
FOURTEENTH.
If any purchaser shall insist on any objection or
reqisisition as to the title or abstract or evidence of title,
particular conditions, conveyance, surrender, possession,
receipt of rents or otherwise, which the vendor shall be unable
or unwilling (on the ground of expense or otherwise) to remove
or comply with, the vendor may by notice in writing to such
purchaser or his solicitor at any time and notwithstanding any
negotiation or litigation in respect of such objection or
requisition annul the sale, and shall thereupon return to such
purchaser his deposit but without any interest, costs of
investigating the title or other compensation or payment
whatever, and such purchaser shall forthwith return all
abstracts and papers in his possession which shall have been
furnished by the vendor.
FIFTEENTH.
Each purchaser shell pay the remainder of his purchase money
and the value (ascertained or to be ascertained as above
mentioned) of the said timber, fixtures and other articles on
the 11 day of October, 1886, at the office aforesaid of the
vendor's solicitor, or as he shall in writing direct, and upon
such payment the vendor and all other necessary parties (if any)
will make and execute a proper surrender and assurance of the
property to suds purchaser, but such surrender and assurance and
every other assurance and act (if any) which shall be required
by the purchaser for getting in. surrendering or releasing any
outstanding estate or interest or for completing or perfecting
the vendor's title or for any other purpose, shall be prepared
made and done by and at the expense of the purchaser. and every
such assurance shell be left not less then ten days before the
said 11th day of October. 1886, at the office aforesaid, and the
expense of the perusal on behalf of and execution, and
acknowledgment by all parties (other then the vendor) of all
such assurances as aforesaid shall be borne by the purchaser
requiring the same. The vendor being a mortgagee shell not be
required to enter into any covenant other then the statutory
covenant implied by reason of his being expressed to convey as
mortgagee.'
SIXTEENTH.
The rents or possession will be received or retained and the
outgoings discharged by the vendor down to the said 11th day of
October, 1886, and as from that day the out-goings shall be
discharged and the rents or possession taken |

| by the purchasers, and such rents
and outgoings shall if necessary be apportioned between the
vendor and the purchasers for the purpose of this condition. If
from any cause whatever any purchase shall not be completed on
the said 11th day of October, 1886, the purchaser shall pay
interest on the remainder of his purchase money and on the value
of the said timber, fixtures, and otheri articles at the rate of
£5 per cent. per annum from that day until the purchase shall
he completed, and shall not be entitled to any compensation for
the vendor's delay at otherwise.
SEVENTEENTH
If all the lots to which any set of documents relate shall be
sold at the present sale the puchaser whose purchase money is
the largest shall be entitled to the custody of such documents
in the possession of the vendor as relate to any other lot as
well as to the lot or lots purchased by that purchaser and do
not relate to any other property besides that comprised in this
sale. But in respect of documents delivered to him which relate
to the lot or lots of any other purchaser he shall give to that
other purchaser (if so required) a statutory acknowledgment of
his right to production |
and to delivery of copies thereof,
and also a statutory undertaking for safe custody thereof. If
any lot shall not be sold at the present sale the vendor may
retain all documents relating thereto, and in respect of any
documents retained by the vendor he shall (if so required) give
to any purchaser the said statutory acknowledgment but not the
said undertaking, and every acknowledgment given under this
condition shall be prepared and approved on behalf of all
parties thereto at the expense of the person to whom it shall be
given.
EIGHTEENTH.
If any purchaser shall fail to comply with the above
conditions his deposit money shall thereupon be forfeited and
the vendor shall be at liberty to resell the property bought by
such purchaser at such time and in such manner and subject to
such conditions as the vendor shall think fit, and any
deficiency in price which may happen on and all expenses
attending the resale shall immediately afterwards be paid by the
defaulter to the vendor, and in case of non-payment shall be
recoverable by the vendor as liquidated damages. |

Ashby Suffolk hereby acknowledge that on the sale by private contract
this fifteenth day of March 1887, of the property mentioned in the
foregoing particular. I was the highest bidder for and was
declared the purchaser, subject to the foregoing conditions, of Lot 2 at
the price of £1010 -- and that I have paid the sum of £100-- by way of
a deposit and in paart payment of the said purchase money to Robert
Flick and hereby agree to pay the remainder of the said purchase
money and complete the said purchase according to the aforesaid
conditions so far as the same are applicable to a sale of private
contract.
